These End User License and Terms of Use (the "End User Terms") are a legal agreement between Pharmacore Inc. ("Pharmacore," "we," "us," or "our") and the individual accessing the Pharmacore service ("you"). They apply whether your access is provided by an employer, pharmacy, facility, pharmacy group, other organization, or a direct professional subscription (the "Customer").
Acceptance: By clicking "I agree," creating an account, or accessing the Service, you agree to these End User Terms. If you do not agree, do not access or use the Service. You accept these End User Terms for yourself only. Your acceptance does not bind the Customer to any commercial terms; the Customer is bound only by the Customer Agreement accepted by its authorized representative.
1. Relationship to the Customer agreement
Your access is also subject to the agreement between Pharmacore and the Customer (the "Customer Agreement"). You are an Authorized User under that agreement and must follow the Customer's policies and instructions. If these End User Terms conflict with the Customer Agreement, the Customer Agreement controls as between Pharmacore and Customer; these End User Terms continue to govern your individual conduct. Nothing in these End User Terms amends the Customer Agreement, imposes obligations on the Customer, or limits the Customer's rights or remedies under it. A Business Associate Agreement ("BAA") governs Pharmacore's handling of protected health information ("PHI") on the Customer's behalf. Capitalized terms not defined here (such as Service, Documentation, Output, Customer Data, and Completed Report) have the meanings given in the Customer Agreement or, if it does not define them, in Pharmacore's SaaS Subscription Terms and Conditions.
2. Eligibility and authority
You must be at least 18 years old, legally able to enter these End User Terms, and authorized by the Customer to use the Service. Clinical functions are intended only for appropriately licensed or otherwise qualified healthcare professionals acting within their training, credentials, scope of practice, and organizational privileges. Non-clinical personnel may use only the administrative, support, or technical functions authorized for their role.
Accepting these End User Terms, or holding administrator rights in the Service, does not give you authority to bind the Customer. Only a person with actual authority to bind the Customer may accept the Customer Agreement, an order, or a BAA on its behalf, and only by signing it or completing Pharmacore's account-owner enrollment process, which requires that person to confirm that authority. If you complete that process, you represent that you have that authority.
The Service is not offered directly to patients, residents, family members, caregivers, or consumers. If you are in one of those categories, do not create an account or use another person's account.
3. Limited license
Subject to these End User Terms and the Customer Agreement, Pharmacore grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during your authorized access period to use the Service and Documentation solely for the Customer's professional and business purposes, including providing pharmacy and clinical services to the facilities and residents the Customer serves, and only as intended and documented. Pharmacore and its licensors reserve all rights not expressly granted.
4. Account security
Provide accurate account and professional information and keep it current.
Keep credentials confidential, use multi-factor authentication when available, and do not share an account or authentication factor.
Use only the permissions and patient records needed for your assigned duties.
Lock or sign out of unattended devices and follow Customer security policies.
Notify Customer's administrator and Pharmacore at security@pharmacore.ai immediately if credentials may be compromised, access appears unauthorized, or information is sent to the wrong account.
You are responsible for activity performed through your account to the extent resulting from your act or omission.
5. Clinical decision support; your professional responsibility
You make the decision: Pharmacore can surface issues and suggest content. You must independently evaluate the patient, inputs, evidence, context, and Output and may accept, modify, or reject every suggestion.
Pharmacore is clinical decision support and workflow software for licensed healthcare professionals. It does not provide direct patient care, replace your professional judgment, make an autonomous clinical decision, or serve as the authoritative patient or pharmacy record. It is not intended for emergency use, pharmacy dispensing, e-prescribing, or use by a patient or caregiver. Pharmacore provides software only: it does not perform medication regimen reviews or employ or supply pharmacists, and Pharmacore support personnel do not give clinical advice.
Independently review the complete and current patient record and verify that data imported or entered into the Service are correct, complete, and associated with the correct patient.
Review the basis, source information, assumptions, limitations, warnings, and clinical relevance of each Output before relying on, documenting, communicating, or acting on it.
Check material information against authoritative drug references, current labeling, applicable clinical guidelines, facility policies, and other sources appropriate to your professional practice.
Do not use an Output as the sole basis for a diagnosis, treatment, medication change, recommendation, order, referral, escalation, or decision not to act.
Do not assume the Service has identified every issue, interaction, contraindication, monitoring need, documentation requirement, or follow-up task.
Correct or reject inappropriate Output and ensure the final review, report, note, recommendation, and follow-up accurately reflect your independent professional judgment.
Use emergency services, poison control, the treating provider, or another appropriate resource when urgent action may be required.
AI-assisted Outputs may be probabilistic and can be incomplete, inaccurate, outdated, inconsistent, or inappropriate for a particular patient. Your professional, ethical, legal, documentation, and patient-care responsibilities are not reduced by use of the Service.
Your role determines your responsibilities. If you are a reviewing pharmacist, you are responsible for performing your review, including any required review of the resident's medical chart, and for documenting and reporting irregularities as the law and the Customer's and facility's policies require (for example, the separate written report to the attending physician, medical director, and director of nursing required by 42 C.F.R. § 483.45(c)). If you are facility personnel, such as a nurse, director of nursing, or administrator, who receives findings or reports through the Service, you are responsible for receiving, escalating, and acting on them under your facility's policies. Delivery of a report through the Service does not replace any required notification, and the Service does not confirm that a report has been read or acted upon. If your role is non-clinical, do not use clinical functions.
6. Patient information, confidentiality, privacy, and minimum necessary use
You may access or submit patient information only when authorized by the Customer, permitted by law, needed for your assigned duties, and covered by an effective BAA when HIPAA applies. Use the minimum necessary information. Do not enter PHI into free-text support tickets, email, chat, demonstrations, test accounts, or other channels unless Pharmacore and the Customer expressly identify the channel as approved for PHI.
Do not download, print, photograph, copy, disclose, or retain patient information except as authorized by Customer policy and applicable law. Patient requests about records or privacy rights should be directed to the relevant pharmacy, facility, provider, or other Customer; Pharmacore ordinarily acts on Customer's instructions and is not the provider's Notice of Privacy Practices contact.
Confidential Information. "Confidential Information" means (a) Customer Data, including PHI, Output, and Completed Reports; (b) non-public information about the Service and Pharmacore, including software, models, prompts, clinical logic, security controls, pricing, and Documentation; and (c) any other information that is Confidential Information under the Customer Agreement, whose definition and exclusions are incorporated here as they apply to you. You must use Confidential Information only to perform your authorized duties for the Customer, protect it with at least reasonable care, and not disclose it except as the Customer authorizes, as Section 9 permits, or as required by law. These duties continue after your access ends.
Nothing in these End User Terms prevents you from reporting a possible violation of law or a patient-safety concern to a government agency, regulator, or licensing board, or from making a disclosure required by law or by your professional obligations.
7. Prohibited conduct
You must not:
use another person's credentials, allow another person to use yours, impersonate someone, or bypass role or access controls;
access patient or Customer information without a legitimate authorized purpose;
use the Service outside its intended use, applicable law, your professional scope, or Customer policy;
reverse engineer, decompile, disassemble, copy, frame, scrape, probe, or attempt to discover non-public source code, prompts, models, algorithms, clinical logic, or security controls, except where law prohibits this restriction;
resell, sublicense, or make the Service available to anyone who is not an Authorized User, or publish or distribute Output except as the Customer authorizes (sharing Completed Reports under Section 9 is permitted);
use the Service or Output to develop, train, test, validate, benchmark, or improve a competing product or model;
upload malicious code, disrupt the Service, perform unauthorized security testing, or attempt to access another user or customer's data;
remove proprietary notices or misrepresent Output as independently verified by Pharmacore; or
use the Service in a way that could create a material risk to patient safety, privacy, security, or the rights of another person.
8. Customer administration and monitoring
The Customer controls your account and may access, review, export, restrict, or delete account and usage information; manage permissions; and suspend or terminate your access. Customer administrators may be able to view your activity and content. Pharmacore may monitor logs and use automated or human review as reasonably necessary to provide support, maintain security, investigate misuse, comply with law, or enforce these End User Terms, subject to the Customer Agreement and BAA.
9. Ownership, Customer Data, and Output
Pharmacore and its licensors own the Service, Documentation, software, design, workflows, user interface, clinical logic, models, prompts, templates, know-how, improvements, and related intellectual property. As between Pharmacore and the Customer, the Customer owns Customer Data, including Output and Completed Reports, and holds a perpetual right to use any Pharmacore templates or standard text embedded in them, as provided in the Customer Agreement. Your rights in Customer Data and Output are determined by the Customer Agreement and your relationship with the Customer. You may use Output only for authorized Customer purposes, which include sharing Completed Reports, as the Customer directs, with facilities and their staff, treating providers, dispensing pharmacies, residents or their representatives where required, surveyors and regulators, and others permitted by the Customer Agreement and applicable law. Similar or identical AI-assisted content may be generated for others, so Output may not be unique or protectable.
10. Feedback
You may choose to provide suggestions or feedback. Pharmacore may use feedback without restriction or payment, but will not identify you or Customer publicly without permission and will not use PHI except as allowed by the BAA and Customer Agreement.
11. Third-party services and links
The Service may connect to or rely on third-party systems, clinical references, pharmacy platforms, identity providers, infrastructure, or AI services. Third-party content may have separate terms and may change. Pharmacore is not responsible for a Customer-selected third-party service or information imported from it, except as stated in the Customer Agreement. You must independently verify clinical source material and patient data appropriate to your use.
12. Early access features
Features marked beta, pilot, preview, experimental, early access, or similar may be incomplete, inaccurate, changed, or discontinued and are provided "as is." Do not use such a feature for production clinical work unless the Customer Agreement and Documentation expressly permit it. Report unexpected behavior through an approved non-PHI support channel.
13. Privacy
The Pharmacore Privacy Policy at https://pharmacore.ai/privacy/ explains how Pharmacore handles account, device, usage, support, and other personal information. Customer's policies, the Customer Agreement, and the BAA govern Customer Data and PHI that Pharmacore processes on Customer's behalf.
14. Suspension and termination
These End User Terms continue while you have access. Your license ends automatically when the Customer Agreement or your authorization ends, except for any read-only access the Customer Agreement provides during a suspension or after it ends. The Customer may suspend or terminate your access. Pharmacore may suspend or restrict your individual access, limited to what is reasonably necessary, for suspected compromise of your credentials, unauthorized or unlawful use, a security, privacy, or patient-safety risk, your breach of these End User Terms, or a legal requirement, and will promptly notify the Customer's administrator. Suspension or termination of the Customer's account, including for non-payment or a disputed invoice, is governed solely by the Customer Agreement and its notice, cure, and data-access provisions; these End User Terms give Pharmacore no additional right to suspend the Customer's account. You must stop using the Service when access ends. Provisions concerning ownership, confidentiality (Section 6), disclaimers, liability, and disputes survive as applicable.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, OUTPUTS, AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." PHARMACORE AND ITS LICENSORS DISCLAIM IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND RESULTS.
PHARMACORE DOES NOT WARRANT THAT THE SERVICE OR AN OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, CURRENT, COMPLETE, CLINICALLY APPROPRIATE FOR A PARTICULAR PATIENT, OR SUFFICIENT TO SATISFY YOUR OR CUSTOMER'S PROFESSIONAL, LEGAL, REGULATORY, DOCUMENTATION, OR PATIENT-CARE OBLIGATIONS.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHARMACORE AND ITS AFFILIATES, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; OR DAMAGES ARISING FROM A CUSTOMER'S ACTION, A CLINICAL DECISION, OR UNAUTHORIZED USE. PHARMACORE'S TOTAL LIABILITY TO YOU ARISING FROM THESE END USER TERMS WILL NOT EXCEED US$100. THIS LIMIT APPLIES ONLY TO CLAIMS YOU BRING IN YOUR INDIVIDUAL CAPACITY. IT IS SEPARATE FROM, AND DOES NOT LIMIT, REDUCE, OR COUNT AGAINST, PHARMACORE'S LIABILITY TO THE CUSTOMER OR THE CUSTOMER'S RIGHTS AND REMEDIES UNDER THE CUSTOMER AGREEMENT, INCLUDING CLAIMS THE CUSTOMER BRINGS ARISING FROM YOUR USE OF THE SERVICE ON ITS BEHALF. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
17. Indemnity
These End User Terms do not require you to indemnify Pharmacore. Indemnification for claims arising from use of the Service on the Customer's behalf, including clinical and business claims, is addressed only in the Customer Agreement. This does not limit any right Pharmacore has under applicable law against an individual for intentional misconduct, but Pharmacore will not recover from you any loss it has already recovered from the Customer or another source.
18. Governing law and disputes
These End User Terms are governed by Delaware law, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and you consent to venue and personal jurisdiction there. YOU AND PHARMACORE EACH WAIVE A JURY TRIAL TO THE EXTENT PERMITTED BY LAW. Either party may seek injunctive or other equitable relief for unauthorized access, misuse of data, Confidential Information, or intellectual property in any court of competent jurisdiction.
19. Changes and general terms
Pharmacore may update these End User Terms to reflect changes in the Service, law, security, or business practices. If a change is material, Pharmacore will provide at least 30 days' notice through the Service, by email, or through Customer and state when it takes effect, except that a change required by law or to address an urgent security risk may take effect sooner. Continued use after the effective date constitutes acceptance where permitted by law; if you do not agree, stop using the Service and contact Customer's administrator. Updates to these End User Terms govern only your individual use. They do not amend the Customer Agreement, impose fees or other commercial obligations on the Customer, change the Customer's notice, cure, or suspension protections, or override any commitment Pharmacore has made to the Customer, and neither your acceptance nor your continued use can do so.
You may not assign these End User Terms. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. A waiver must be written. These End User Terms, together with applicable parts of the Customer Agreement, are the entire agreement between you and Pharmacore regarding your individual use.
20. Contact
Questions about these End User Terms may be sent to legal@pharmacore.ai or Pharmacore Inc., 101 Electra, Irvine, CA 92618. Product support requests should be sent through the approved in-product support channel or to support@pharmacore.ai. Do not include PHI unless the channel is expressly approved for PHI.
